Consumers are natural persons who enter into a transaction for purposes that are predominantly outside their trade, business or profession.
Entrepreneurs are natural or legal persons or partnerships with legal capacity acting in the course of their trade, business or profession.

3. Conclusion of Contract
The presentation of products in our online store does not constitute a legally binding offer.
By submitting an order, the customer makes a binding offer to purchase the products contained in the cart.
A contract is concluded when LÆCE accepts the order, for example by sending an order confirmation, dispatch confirmation or by fulfilling the order.
LÆCE may refuse or cancel an order where legally permissible, including in cases of obvious pricing errors, unavailable goods, suspected fraud or orders placed contrary to stated sales restrictions.
4. Prices, VAT & Payment
Consumer prices shown in the online store include applicable VAT unless stated otherwise.
Shipping costs and any other applicable charges are shown separately before the order is submitted.
Wholesale prices are net prices and exclude VAT unless expressly stated otherwise.
The applicable VAT treatment depends on the customer, destination and statutory requirements applicable to the transaction.
Available payment methods are displayed during checkout or stated on the respective invoice.
Wholesale/B2B orders are invoiced separately and, unless otherwise agreed in writing, must be paid in full before dispatch.
5. Delivery
Delivery is made to the delivery address provided by the customer.
Delivery times are estimates unless a binding delivery date has expressly been agreed.
LÆCE is not responsible for delays caused by circumstances outside its reasonable control, including carrier delays, customs processing, force majeure or incorrect address information supplied by the customer.
6. Retention of Title
Goods remain the property of LÆCE until full payment has been received.
For entrepreneurs, retention of title also applies until all claims arising from the ongoing business relationship have been settled, to the extent permitted by law.
7. Consumer Right of Withdrawal
Consumers have the statutory right of withdrawal described in our Right of Withdrawal / Return Policy.
Entrepreneurs and B2B customers do not have a statutory consumer right of withdrawal.
8. Sale Items & Discounted Products
Sale items and discounted products are excluded from voluntary returns and voluntary exchanges.
This does not affect a consumer’s statutory right of withdrawal or any statutory rights relating to defective, damaged or incorrectly delivered goods.
9. Defects & Statutory Warranty Rights
Statutory warranty rights apply.
Customers should inspect delivered goods promptly and contact LÆCE if products are damaged, defective, incomplete or incorrectly delivered.
Where both parties are merchants within the meaning of the German Commercial Code (HGB), the statutory inspection and notification obligations, including Section 377 HGB, remain applicable.
10. Liability
LÆCE is liable without limitation for intent and gross negligence, for injury to life, body or health and in cases of mandatory statutory liability.
In cases of simple negligence, LÆCE is liable only for the breach of essential contractual obligations and only for foreseeable damage typical for the contract, unless mandatory law provides otherwise.
11. Wholesale / B2B Orders
Wholesale orders are available to entrepreneurs and commercial retailers only and are subject to approval by LÆCE.
The minimum wholesale order quantity is 15 products per order, unless otherwise agreed in writing.
Wholesale orders are reviewed and confirmed by LÆCE and invoiced separately.
Unless otherwise agreed in writing, shipment takes place only after full payment has been received.
LÆCE products supplied on wholesale terms may only be resold by the approved retail customer.
Products may not be transferred or supplied to unauthorized retailers, wholesalers or resellers.
All LÆCE branded labels, tags and other brand identifiers must remain attached to the products as supplied and may not be removed, replaced or altered.
LÆCE products, designs and brand elements may not be copied, reproduced or imitated.
Damaged, defective, incomplete or incorrectly delivered B2B goods must be reported promptly to wholesale@lace-belts.eu together with the relevant order or invoice number, a description of the issue and appropriate photographs.
Mandatory statutory rights remain unaffected.
12. Intellectual Property
All content, designs, photographs, product names, graphics, logos, texts and other brand elements used by LÆCE are protected by applicable intellectual property laws.
Use, reproduction, adaptation or distribution without prior authorization is prohibited unless permitted by law.
13. Governing Law
German law applies.
For consumers, this choice of law does not deprive them of mandatory consumer-protection provisions that would apply in their country of habitual residence.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded where legally permissible.
14. Place of Jurisdiction
Where the customer is a merchant, legal entity under public law or special fund under public law, the competent courts at LÆCE’s place of business shall have jurisdiction to the extent permitted by law.
15. Consumer Dispute Resolution
LÆCE is not obliged and does not undertake to participate in dispute-resolution proceedings before a consumer arbitration board unless required by law.
16. Severability & Changes
If any provision of these Terms is or becomes invalid or unenforceable, the remaining provisions remain unaffected.
Mandatory statutory provisions apply in place of any invalid provision.
LÆCE may update these Terms where necessary.
The version applicable at the time the relevant contract is concluded governs that contract.
